Facilities Grant Update
Windsor Charter Academy was awarded funds from the Charter School Facilities Assistance Program. With these funds, the Executive Board approved a comprehensive, phased plan spanning the full five-year grant distribution cycle, allowing for the strategic combination of funds to complete large-scale projects. Windsor Charter Academy will be able to complete the core elements within the first two years of funding, prioritizing high-impact projects now. Over the remaining three years of the grant, Windsor Charter Academy is projected to receive additional funding estimated between $100,000 and $200,000, depending on future grant allocations and the number of eligible schools. Future-year funding will be presented to the Board, along with updated facility plans reflecting ongoing needs assessments, to ensure continued alignment with priorities and responsible stewardship of resources. The summary includes:
Elementary School Playground Resurfacing — $225,610 to $362,093
Campus Signage (Elementary School, Middle School, High School) — $80,647 & estimated $10,000 for electrical infrastructure
Elementary School Sound System — $70,000
Elementary School Library — $50,000
Elementary School Awnings — $7,000
Elementary School Rock — $7,000
Elementary School Water Bottle Fillers — $5,000
Total Allocation for Years 1 and 2: $455,984

Board Refinement: Upcoming Meetings
The Executive Board will meet midday over the next several weeks to continue refining its processes and procedures related to Board governance and operational effectiveness. While these meetings will not include open comment or citizen communication, community members are welcome to attend and observe the Board’s ongoing efforts for continuous improvement.

Citizen Communication
The Executive Board generally responds to topics raised during Citizen Communication, either directly to the individual who raised the topic or, when appropriate, to the broader community. The Executive Board would like to respond to the following topics raised at our most recent Board meeting.
Executive Board Member Appointment
According to Article III, Section 2 of the WCA Bylaws:
“No employee’s spouse, child, sibling, and/or parent/guardian will be eligible to serve on the Board. No current employee will be eligible to serve on the Board. No former employee or the spouse, child, sibling, and/or parent/guardian of a former employee, nor an employee of another entity who is assigned to the Academy as a function of their employment or their spouse, child, sibling, and/or parent/guardian shall serve on the Board for a minimum of twenty-four (24) months from the last date of employment with, or assignment to the Academy.”
During the recent appointment of Mr. Miera, the Executive Board confirmed that he met all Board candidate eligibility requirements. His spouse was last employed by Windsor Charter Academy in June 2022, exceeding the required 24-month waiting period. The August 2025 Executive Board minutes referenced the date his spouse was removed from our employment software system, and does not reflect the actual employment end date. To improve our process, we will provide clarity in future Board minutes by specifying the actual end dates of employment.
John Bartmann Memorial Scholarship
The John Bartmann Memorial Scholarship was the first formal scholarship established at Windsor Charter Academy, created in honor of Mr. Bartmann, a former Board President. Since our first commencement ceremony, the Key Bearer has received the scholarship. This scholarship will be fully funded annually by Windsor Charter Academy, and on April 17th, Mrs. Bartmann was invited to present the award at our Senior Breakfast next month.
Legal Advice for Board Membership
Windsor Charter Academy engages legal counsel to provide consultation and guidance on matters related to the school, its bylaws, and Board policies. Matters of significance—particularly those involving the appointment or removal of a Board member—are reviewed in detail with legal counsel.
In January, the Executive Board consulted with legal counsel on multiple occasions regarding the steps required to remove a Board member. All actions taken were in full compliance with applicable law, and the Executive Board remains committed to upholding those standards. A former Board member has formally requested mediation; however, those requests were denied in consultation with legal counsel.
Review of WCA Bylaws
On June 12th, 2025, the Executive Board held its annual retreat as part of its ongoing professional development. Legal counsel was invited to provide guidance on Board governance, particularly for new members. During that session, counsel identified discrepancies within the WCA Bylaws and recommended a comprehensive review to be completed at a later date.
On November 25th, the Executive Director, on behalf of the Executive Board, formally engaged legal counsel to review both the B Policies—School Board Governance & Operations—and the WCA Bylaws. The intent was to ensure that our policies and bylaws reflect best practices for Colorado charter schools.
2025 Board Continuation Work
Board Refinement Process
In October 2025, the Executive Board identified opportunities to refine its processes. Following legal recommendations received on November 25th, the Executive Board began a comprehensive review of its policies, bylaws, and processes. The goal of this work is to eliminate ambiguities and address any information gaps. This has been a thoughtful, year-long effort, and the current Board remains committed to continuing the work initiated by the previous Board.
